Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the services provided by Praisen King & Associates (Pty) Ltd ("we", "us", or "the Company"), a company incorporated in Botswana under UIN BW00005188821. By engaging our services, whether through our website, in person, or by telephone or email, you agree to be bound by these Terms. Please read them carefully.
2. Services Offered
Praisen King & Associates provides corporate services including but not limited to:
- Company registration with CIPA (Pty Ltd, CC, external company, business names)
- BURS tax registration and tax return preparation and submission
- PAYE, VAT, and OWHT monthly compliance filings
- Annual CIPA returns and company secretarial services
- Accounting, bookkeeping, and preparation of financial statements
- Business plan preparation for CEDA, NDB, YDF, and bank loan applications
- Branding and graphic design services
- Business advisory and consultation services
The scope of services for each engagement is confirmed in a service agreement, invoice, or written communication prior to commencement of work.
3. Client Responsibilities
As a client, you are responsible for the following:
Accuracy of Information
You are responsible for providing accurate, complete, and current information as required for the services engaged. Praisen King & Associates acts in good faith on the information you provide. We are not liable for errors, omissions, penalties, or delays arising from inaccurate or incomplete information supplied by you or your authorised representatives.
Timely Provision of Documents
You must provide all required documents and approvals promptly. Delays in providing documents may result in delays in service delivery, late filing penalties from regulatory authorities, and additional fees for expedited processing if required.
Review of Submissions
Where we prepare documents or returns on your behalf, you have the right and responsibility to review them before submission. By approving a document for submission, you confirm that its contents are accurate to the best of your knowledge.
Authorisation
By engaging our services, you confirm that you are authorised to provide the personal data of directors, shareholders, and other individuals mentioned in service requests, and that you have informed those individuals that their data will be shared with us.
4. Payment Terms
Once-Off Services
For one-time services such as company registration and business plan preparation, a deposit of 50% of the agreed fee is required before work commences. The remaining balance is due upon delivery of the completed service.
Monthly Subscription Services
Monthly retainer fees are due on the 1st of each calendar month for services rendered in that month.
Grace Period
A grace period of 5 calendar days is allowed from the due date for monthly subscription payments.
Late Payment Penalty
If payment is not received within 15 days of the due date, a late payment penalty of 10% of the outstanding amount will be applied.
Service Suspension
If payment remains outstanding for more than 30 days from the due date, we reserve the right to suspend services without further notice until the account is settled in full.
Payment Methods
Payments must be made by bank transfer to the account details provided on your invoice. We do not accept cash for amounts exceeding P500. Receipts will be issued for all payments received.
5. Limitation of Liability
Praisen King & Associates provides its services with professional care and in accordance with applicable laws and regulations. However:
- We are not liable for decisions made by CIPA, BURS, PPADB, or any other regulatory authority in relation to applications submitted on your behalf.
- We are not liable for delays caused by regulatory bodies, government system downtime (including CIPA OBRS), or force majeure events.
- Our liability for any service failure is limited to the fee paid for the specific service in question. We are not liable for consequential, indirect, or special damages.
- We are not liable for errors or penalties arising from inaccurate information provided by the client.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Botswana. In particular, the following legislation applies where relevant: the Companies Act (Cap. 42:01), the Income Tax Act (Cap. 52:01), the Value Added Tax Act (Cap. 50:03), and the Data Protection Act of 2018.
7. Dispute Resolution
In the event of a dispute arising from or in connection with these Terms or the services provided:
- 1The parties shall first attempt to resolve the dispute through direct negotiation. Either party may raise a complaint in writing to management@praisenking.com. We will acknowledge within 5 business days and respond substantively within 14 business days.
- 2If the dispute cannot be resolved through direct negotiation within 30 days, the parties may agree to submit the matter to mediation conducted by a mutually agreed mediator in Botswana.
- 3If mediation fails or is not agreed upon, the dispute shall be submitted to the jurisdiction of the courts of Botswana.
8. Termination
By the Client
You may terminate a monthly subscription or ongoing service agreement by providing 30 days written notice to management@praisenking.com. All outstanding fees for services rendered up to the termination date remain payable.
By Praisen King & Associates
We may terminate the service agreement with 30 days written notice. We may terminate immediately and without notice in the event of non-payment beyond 30 days, fraudulent misrepresentation, or conduct that exposes the Company to legal or regulatory risk.
Effect of Termination
Upon termination, we will provide you with copies of all documents we have prepared on your behalf and return any original documents you have provided to us. Confidentiality obligations survive termination.
9. Confidentiality
Both parties agree to keep confidential all non-public information received in connection with the services. Praisen King & Associates will not disclose client information to third parties except as required by law, or as necessary to deliver the agreed services (for example, submitting your registration application to CIPA or your tax return to BURS). These confidentiality obligations continue after termination of the service agreement.
10. Amendments
We may amend these Terms from time to time. Material changes will be notified to subscription clients by email at least 30 days before the changes take effect. Continued use of our services after the effective date of any amendment constitutes acceptance of the revised Terms.
