A separate legal entity. In your name.

Company registration formally incorporates your business under the Companies Act (Cap. 42:01). Once registered, your company becomes a distinct legal entity — able to enter contracts, own property, and operate independently of you as an individual.

All registrations in Botswana are processed through CIPA via the OBRS system. We have direct access to OBRS, meaning your application goes through the official channel with no third-party delays.

The most common business structure in Botswana. Ideal for SMEs. Limits shareholder liability and allows up to 50 shareholders.

Close Corporation (CC)

A simpler structure for small businesses with up to 10 members. Less administrative overhead than a Pty Ltd.

Public Limited Company

For larger businesses intending to offer shares to the public or list on the Botswana Stock Exchange.

Company Limited by Guarantee

Typically used by non-profit organisations, associations, and foundations. No share capital is issued.

External Company

For foreign companies establishing a branch or presence in Botswana. Must register with CIPA within 21 days of commencing operations.

Business Name Registration

Register a trading name for a sole trader or partnership. Simpler than a company and lower cost, but with no limited liability protection.

The Process

From enquiry to incorporation

Name Reservation

We check the availability of your preferred company name on the CIPA OBRS system and reserve it on your behalf. This step normally takes 1 business day.

Document Preparation

We prepare all required statutory documents: the Memorandum and Articles of Association, director and shareholder forms, and the beneficial ownership declaration.

CIPA OBRS Submission

We submit your complete registration package directly to CIPA via the OBRS platform. We track the application and respond to any queries from CIPA on your behalf.

BURS Tax Registration

Once your Certificate of Incorporation is issued, we register your company for a Tax Identification Number (TIN) with the Botswana Unified Revenue Service.

Certificate of Incorporation

You receive your Certificate of Incorporation, Certificate to Commence Business, and all signed statutory documents. Your company is now legally registered.

The following are required for a standard Pty Ltd or Business Name registration. All copies must be certified by a commissioner of oaths. We will guide you if you are unsure.
